Echoshot - Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and Echoshot LLC ("Echoshot," "we," "us," or "our"). They govern your access to and use of the Echoshot website, mobile application, and related services (collectively, the "Services").

By creating an account, joining the waitlist, or accessing the Services, you: acknowledge that you have read and understood these Terms; agree to be bound by them; and consent to our data practices as described in our Privacy Policy. If you do not agree, do not access or use the Services.

Echoshot is a travel photography app that analyzes photos you submit and generates plain-English shot briefings - including where to stand, when to arrive, and how to set up your phone camera. The Services include shot briefings, a personal shot journal, light intelligence, a shot queue for trip planning, offline access, and an in-app photography learn library.

During pre-launch and early access periods, some features may be limited, experimental, or subject to change without notice. We will communicate material changes to you as described in Section 19.

You must be 13 years of age or older to use the Services. If you are under 18, you represent that you have your parent or guardian's permission. By using the Services, you represent and warrant that you meet these requirements and are capable of forming a binding contract.

You agree to provide accurate, current, and complete information during registration and to keep it updated. You are responsible for all activity under your account and for maintaining the confidentiality of your login credentials. Notify us promptly at admin@echoshot.app of any suspected unauthorized use of your account.

Waitlist and Early Access

Joining the waitlist is free and does not create a billing obligation. Early access pricing, if offered, will be communicated to you via the email address you provide.

Paid Subscriptions

Paid features require a subscription at the then-current rate. Subscriptions are billed on a recurring basis (monthly or annually, as selected). You authorize us to charge your payment method on a recurring basis until you cancel.

Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial billing periods except where required by law.

Price Changes

We may change subscription pricing with reasonable notice. Continued use of the Services after a price change constitutes your acceptance of the new pricing.

Subject to these Terms, Echoshot grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Services for your personal, non-commercial use.

You will not (and will not permit others to):

- Copy, modify, adapt, sublicense, sell, or distribute the Services or any content generated by them

- Reverse engineer, decompile, or attempt to extract source code or underlying models

- Use automated tools, scrapers, or bots to access the Services without written permission

- Upload malware or harmful code

- Use the Services to violate any applicable law or infringe the rights of others

- Use shot briefings or other output to train competing AI models or services

"Your Content" means photos, images, source URLs, and other materials you submit to the Services. You retain full ownership of Your Content at all times.

When you submit a photo, you grant Echoshot a limited, non-exclusive license to temporarily upload and process that image solely to generate your shot briefing. This license is transient: once analysis is complete and your briefing is generated, your submitted image is permanently deleted from our systems. We do not store, retain, or use your image files beyond the duration of that single processing event.

What is stored in your shot journal is limited to: the briefing text output, the GPS coordinates or location identifier for the journal pin, and the source URL of the inspiration photo if one was provided. No image file is stored on our servers after processing is complete.

You represent that you have the right to submit any content you provide and that doing so does not violate any third-party rights.

Echoshot uses AI to analyze photos and generate shot briefings. While we strive for accuracy, briefings are informational and based on analysis of the photo you submit. We do not guarantee that:

- Location identification will be accurate for every photo

- Time windows will be perfectly calibrated for every date, location, or weather condition

- Phone setup instructions will produce identical results on all devices

You are responsible for your own safety when traveling to and photographing locations. Always exercise good judgment - check local access rules, permit requirements, and conditions before visiting any location.

We welcome feedback, suggestions, and ideas about the Services ("Feedback"). By submitting Feedback, you grant Echoshot a perpetual, irrevocable, royalty-free license to use and incorporate that Feedback into the Services without restriction or compensation to you.

Echoshot and its licensors own all rights, title, and interest in and to the Services, including the app, website, AI models, briefing generation logic, learn library content, interfaces, designs, and all improvements and derivative works. Except for the limited license in Section 6, no rights are granted to you by implication or otherwise.

The Echoshot name, logo, and product identity are trademarks of Echoshot LLC. You may not use them without our prior written permission.

The Services may depend on or integrate with third-party services (such as mapping data, image analysis providers, and payment processors). We are not responsible for third-party services, their availability, or their terms and policies. Your use of them may be subject to separate terms.

We do not guarantee that the Services will be available at all times. We may modify, suspend, or discontinue any part of the Services at any time. We are not liable for any resulting loss, including loss of saved briefings or shot journal data. We recommend saving any critical briefing information to your device using the offline access feature.

We implement commercially reasonable technical and organizational safeguards to protect your data. However, no service is completely secure. You are responsible for maintaining appropriate security for your account credentials and for reporting suspected incidents to us promptly.

These Terms begin when you first accept them and continue until terminated. We may suspend or terminate your access at any time for suspected misuse, violation of these Terms, or discontinuation of the Services. You may delete your account at any time. Upon termination, your license to use the Services ends immediately.

THE SERVICES (INCLUDING AI-GENERATED SHOT BRIEFINGS AND ALL OTHER OUTPUT) ARE PROVIDED "AS IS" AND "AS AVAILABLE." ECHOSHOT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT BRIEFINGS WILL BE ACCURATE, COMPLETE, OR SUITABLE FOR ANY PARTICULAR LOCATION OR CONDITION.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ECHOSHOT LLC AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES (INCLUDING LOST PROFITS, LOST DATA, BUSINESS INTERRUPTION, OR PERSONAL INJURY) ARISING FROM YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM WILL NOT EXCEED THE GREATER OF $50 OR THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

You will defend, indemnify, and hold harmless Echoshot LLC and its affiliates, officers, employees, and licensors from and against any third-party claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) Your Content; (b) your misuse of the Services; or (c) your violation of any law or these Terms.

You may not access the Services if you are located in or ordinarily resident in a country or region subject to U.S. embargo or sanctions, or if you are on a restricted-party list. By using the Services, you represent and warrant that you are not subject to such restrictions.

These Terms are governed by the laws of the State of Arizona, without regard to conflict-of-law rules. You agree to the exclusive jurisdiction and venue of the state and federal courts located in Maricopa County, Arizona for any disputes not subject to informal resolution.

We may update these Terms from time to time. Material changes will be posted in the Services or communicated to the email address associated with your account. Continued use of the Services after changes become effective constitutes acceptance of the revised Terms.

These Terms constitute the entire agreement between you and Echoshot regarding the Services and supersede any prior or contemporaneous understandings on this subject. You may not assign these Terms without our consent; we may assign them freely. If any provision is found unenforceable, the remainder will remain in effect. Our failure to enforce any provision is not a waiver of our right to do so later.
